It outperformed its main competitor, Magnit, billionaire Sergei Galitsky in market value.

By the close of trading on the London Stock Exchange on Tuesday, February 13, global depository receipts of X5 Retail Group (manages the Pyaterochka, Perekrestok and Karusel chains) rose in price by $0.5 (plus 1.37%) and reached $37 per paper, follows from the LSE data. The market value of the company thus amounted to $10.05 billion.

Against this background, the price of Magnit's securities on the London Stock Exchange did not practically change during the day ($19.46 per share). The capitalization of the company was equal to $9.91 billion.

The trend was also confirmed in trading on the Moscow Exchange. The cost of X5 Retail Group's global depositary receipts on the Moscow Exchange rose by 0.70% at the opening of trading on Wednesday, February 14 (to 2,155 rubles per share). The capitalization of the company thus amounted to 570.92 billion rubles.

Shares of "Magnit" fell in price as of 11:25 Moscow time by 0.70% and traded at a price of 4826 rubles per share. The market value of the company at that time was 492.028 billion rubles.

Against the backdrop of changes in the value of securities, the billionaires who own X5 Retail Group got rich in a day in the amount of $113 million (Friedman - $53 million, Khan - $34 million, Kuzimichev - $26 million). The fortune of the main owner of Magnit, billionaire Galitsky, decreased by $31 million.

In general, over the year, X5 Retail Group securities rose in price on the London Stock Exchange by 13.35%. The shares of Magnit fell by 50.62% there. In the 200 largest Russian private companies, compiled by Forbes in 2017 in terms of revenue in 2016, Magnit (1,074.8 billion rubles) ranked second and outstripped X5 Retail Group (1,033.7 billion rubles).

In 2017, Magnit was inferior to its main competitor in terms of revenue: over the year it grew by 6.4% and amounted to 1.143 trillion rubles. Revenue of X5 Retail Group at the end of 2017 increased by 25.5% and reached up to 1.287 trillion rubles.

Andrey Verkholantsev, Chief Analyst of Ronin Trust Management Company, considers the main reason for the disappointment of investors in Magnit to be unsatisfactory financial indicators retailer. The recently published financial statements of Magnit for the fourth quarter of 2017 recorded a sharp decline in revenue growth. “Against this background, investors re-evaluated this paper, including slower network growth in the forecast,” the analyst explained the decrease in the retailer's capitalization.

Against this backdrop, X5 Retail Group is growing very briskly, demonstrating double-digit revenue growth.

Verkholantsev named one of the factors for the decline in performance at Magnit, among other things, personnel errors. He recalled that after the departure of Lev Khasis in 2011, X5 experienced a personnel leapfrog, which was overcome not so long ago. In addition, the group has invested heavily in rebranding, store changes and assortment renewal, which has led to improved performance.

Magnit has problems with this, the analyst believes. The network has long relied on low prices and not a very wide range. This made it possible to reduce costs. But it turned out that the lack of investment, including in the design of stores, can discourage the buyer from going there. “Discounts are given today by many, and the emotional background from visiting the store comes to the fore for the buyer,” the expert said.

He recalled that Magnit had dealt with these issues only recently. But it will take time for the first results of the changes.

Billionaire networks

Currently, X5 Retail Group manages the Pyaterochka, Perekrestok and Karusel grocery store chains. As at 31 December 2017, the company operated 12,121 stores, including 11,225 Pyaterochka stores, 638 Perekrestok supermarkets and 93 Karusel hypermarkets.

Since 2005, global depository receipts (GDR) X5 Retail Group have been traded on the London Stock Exchange, one GDR corresponds to 0.25% of an ordinary share. On January 26, 2018, the company announced that it had submitted a package of documents for GDR listing on the Moscow Exchange and their inclusion in the first level quotation list. Trading of the company's GDRs on the Moscow Exchange began on February 1, 2018.

A 47.86% stake in X5 Retail Group belongs to Alfa Group. Another 11.43% of the shares - Intertrust Trustees Ltd (Axon Trust), 0.06% - to the directors of X5. Another 0.01% is accounted for by treasury shares.

In April 2016, Galitsky reduced his stake in Magnit from 38.7% to 35.3% in order to finance personal projects. In December 2017, he sold another block of shares and his share in the retailer was reduced to 27.6%.

REQUIREMENT
inspection and elimination of violations in the TC "Pyaterochka" (LLC "Agrotorg" - X5 Retail Group) in the city of Noyabrsk due to a gross violation of the legislation of the Russian Federation

This requirement is a simple and understandable signal, which is a statement on behalf of many or all employees of Pyaterochka stores in the city of Noyabrsk, Yamalo-Nenets Autonomous District, whose labor and civil rights have been violated and who are forced to obey the illegal demands of their directors under the threat of dismissal and deprivation earnings. Therefore, the response to this requirement should not be written, but effective. The depth of the investigation and the rudeness of the revealed violations are sufficient to attract the attention of all or one addressee, and will force officials to conduct an audit, bring the organization of work and the work of stores to the requirements of the current legislation of Russia and make personnel decisions.

Having an active life position and a heightened sense of justice, a study was conducted of the Pyaterochka retail chain in the city of Noyabrsk, the administration of which is guided by the “Declaration on the protection of human rights X5 Retail Group” (https://www.x5.ru/ru/PublishingImages/ Pages/Investors/RegulatoryDocuments/x5-zashita-prav.pdf and Code of Business Conduct and Ethics (https://www.x5.ru/ru/PublishingImages/Pages/Investors/RegulatoryDocuments/Code_of_business_conduct_X5_16.12.2015.pdf These documents must create a special corporate culture in the organization of work and customer service.

It was decided to visit all the stores of the network and talk with employees about the availability of vacancies and working conditions. 7 stores were visited in the city of Noyabrsk: in the shopping center "Fortuna" on the street. Vysotskogo 11, shopping center "Metro Plaza" on the street. Dzerzhinsky 2, on the street. Sovetskoy 6, Trade House "Magnus" on the street. Sovetskaya 31, TC "Mira 1" on Mira 1, TC "Fregat" on the street. Lenina 38, on the street. Kholmogorskaya 74. Communication took place with one or more employees of each of these stores - with sales assistants, cashiers, store directors and their deputies. There are no merchandisers in the stores of the chain (their functions have been transferred to the directors) and controllers (X5 gave any citizen and non-citizen of Russia the opportunity to steal in the stores of the Pyaterochka retail chain without the right to detain and inspect the store employees - all financially responsible persons, because otherwise criminal cases under the article “Illegal deprivation of a person’s freedom, not related to his abduction” and suspension from work).

All interlocutors who worked at the Pyaterochka stores in Noyabrsk disclosed themselves because they wanted to help in finding a job and they did not expect that a decision would be made to publish this letter. Please, when you look for an approach to the employees of Pyaterochka during the check, then really guarantee them the safety and protection from the directors' threats. The simplest and most effective defense of an employee from persecution by the director is the dismissal of the director, or the director and his deputy. When it is established that the supervisor was the pest, then the supervisor must be fired and replaced.

We list the verbal claims of Pyaterochka employees in Noyabrsk:

1) There are no monthly work schedules for sellers-cashiers, there is no written acquaintance with work schedules. Directors verbally talk today about the time to go to work tomorrow.

2) The actual working time of sales assistants-cashiers in mode 2/2: from the opening of the store to its closing. All stores in the Pyaterochka shopping center in Noyabrsk are open from 9:00 to 22:00, that is, shops and cashiers are open at 13:00. Working time in operating mode 2/2, it is tabulated as 9 hours and 45 minutes. Add to this time one hour for a lunch break, then we get 10 hours and 45 minutes of presence at the workplace. And directors demand from sellers-cashiers to stay at the workplace for 13 hours. It turns out that each seller-cashier has an unpaid processing of 2 hours and 15 minutes each shift. Thus, for 15 shifts per month, each sales assistant-cashier works for free (forced under the threat of dismissal) for 33 hours and 45 minutes. This should be considered as a gross violation of the requirements Labor Code RF.

3) Rest time for Pyaterochka employees should be set in the collective agreement and indicated in the monthly work schedule. None of the employees was acquainted with the collective agreement. In fact, workers have 5-10 minutes for a “lunch”, and then work on trading floor with free processing for more than 2 hours per shift. This is the most serious violation.

4) There is no trade union at Pyaterochka. Where is the union in X5, where are the union leaders to protect workers' rights? In 2018, X5 Retail Group has more than 13,000 Pyaterochka stores, tens of thousands of employees across Russia, and there is no information about trade unions. Nobody defends the rights of workers. This is a gross violation of the Labor Code of the Russian Federation. If there is no trade union, then there is no collective agreement.

5) Store managers tend to recruit cashiers from their nation. With its tolerance, X5 turns trading enterprises - Pyaterochka stores into the Asian market retail without rules and without recognition of trade legislation.

6) Store managers keep alcohol abusers at work. This disrupts the operation of stores and increases the burden on other sober cashiers, worsens the quality of customer service, and makes stores not customer-oriented. There are not enough employees in the stores, there is a high turnover of staff.

7) Features of working with the central cash desk of stores and with operating cash desks gives reason to assume that there are violations of tax laws. Incoming and outgoing cash orders are not executed properly and are not registered in journals. The exchange fund is not registered by orders and entries in journals.

8) Losses due to delay are large. Directors do not control the timing, quality and quantity of goods. Local inventories are not carried out or are carried out formally, incorrectly, incompletely, annotations are made.

9) In all Pyaterochka stores in Noyabrsk, people work who do not have medical books and have not passed a medical examination.

According to the employees of Pyaterochka stores in Noyabrsk, in addition to numerous minuses, there is one more minus: wage very low and unworthy of a working man.

We believe that due to the incompetence of the administrative and service personnel in the federal media, reports are being circulated that “the blockade woman died in Pyaterochka” and “Pyaterochka workers locked the teenager in the refrigerator - illegally deprived of liberty”, etc.

The Pyaterochka stores in the city of Noyabrsk do not comply with the requirements of the Labor Code of the Russian Federation and other applicable laws.

In connection with the above, we REQUIRE:

Organize a fact check. Eliminate identified violations.
Initiate administrative proceedings.
Identify the perpetrators and bring them to administrative and disciplinary responsibility. Dismiss all those responsible under the relevant articles of the Labor Code of the Russian Federation.
Make other decisions in accordance with the current legislation, the rights and obligations of inspecting officials.

Everyone knows that the above problems are systemic and apply to all or almost all stores of retail chains owned by Agrotorg LLC - X5 Retail Group, in all cities of Russia, and not only in the city of Noyabrsk: https://otrude.net /employers/25794 - employee reviews.

DO NOT BUY goods in stores of Pyaterochka, Karusel, Perekrestok retail chains where slave labor is used.

DO NOT RECOMMEND your friends and acquaintances to look for work in Pyaterochka stores in Noyabrsk. You will still have to look for another job, because low wages, unpaid overtime and incompetent managers will soon lead any normal employee to the decision to quit on their own.

X5 Retail Group is going to acquire the supermarkets of the O'Key group. The corresponding petition has already been filed with the antimonopoly service. It is more logical for O'Key to concentrate on the development of hypermarkets and discounters, experts say

Photo: Svetlana Kholyavchuk / Interpress / TASS

The Federal Antimonopoly Service received a petition from Kelvin Limited (Kelwin Limited) to obtain prior approval to acquire a stake in an unnamed company engaged in "retail trade primarily food products including drinks and tobacco products.

Kelvin Limited is part of the structure of Russia's largest retailer, X5 Retail Group (which develops the Pyaterochka, Perekrestok and Karusel networks), a company representative said earlier: on behalf of this company, X5 Retail Group filed applications for the purchase of regional chains.

As a source familiar with the situation explained to RBC, we are talking about the intention of X5 Retail Group to acquire a chain of O'Key supermarkets belonging to the group of companies of the same name. At the time of publication, the press services of X5 Retail Group and O'Key did not answered. However, after X5's request, Retail Group announced on the London Stock Exchange that it had filed a corresponding application with the FAS. Later, O'Key made a similar disclosure on the stock exchange.

As of October 27, 2017, the O'Key group included 37 supermarkets and 72 hypermarkets under the O'Key brand, as well as the Da! from 60 stores. At the end of 2016, the group was the seventh largest food retailer in terms of revenue after X5 Retail Group, Magnit, Dixy, Lenta and Metro Cash & Carry, according to RBC Market Research.

The main part of O'Key's revenue is provided by hyper- and supermarkets that form one division. For the first nine months of this year, the revenue of the two formats amounted to 118.2 billion rubles, Da! - only 7.2 billion rubles, but the business of discounters almost doubled in January-September, while the income of hyper- and supermarkets decreased by 0.9%. 62%.

But yes!" until it generates operating profit for the group. According to the results of the first half of 2017 (latest available data), discounters had negative EBITDA. In hyper- and supermarkets, the profitability for this indicator reaches 5.6%.

In early October, O'Key specified in a presentation to investors that in the first half of the year, supermarkets accounted for 10% of the retailer's total revenue. The total sales area of this format is 47.6 thousand square meters. m, which is 8% of the retail space of all formats of the group. The retailer owns 18 thousand square meters. m of retail space for supermarkets.

For the supermarket segment, this deal will be large, it is comparable to the recent lease deal for a number of federal supermarket chains "The Seventh Continent," said Mikhail Burmistrov, CEO of INFOLine-Analytics. According to him, the value of the O'Key operating business, which includes 37 supermarkets, whose revenue for the nine months of 2017 amounted to just under 13 billion rubles, can be up to 4 billion rubles, even up to 4 billion rubles. may be worth the property owned by Okay. Depending on the configuration of the transaction, the price of "OK" can vary from 4 billion to 8 billion rubles. (from $68.7 million to $137.3 million at the current exchange rate), he believes.

The main owners of "OK" are the founders of the group Dmitry Korzhev and Dmitry Trotsky (each indirectly owns, as of December 31, 2016, 23.49% each authorized capital), as well as their partner Boris Volchek (28.02%).

The owners of the O'Key retailer plan to sell their stake in the network, Vedomosti reported in December 2016, citing sources familiar with the negotiators. Among the possible buyers with whom negotiations were then held, Auchan and Lenta were called. Shareholders of "Okay" expected to earn 110 billion rubles for the company. ($ 1.8-2 billion), Delovoy Petersburg claimed in January 2017, naming Magnit, X5 Retail Group and Auchan among the applicants.

At the end of the trading day on Tuesday, October 31, the capitalization of "OK" on the London Stock Exchange was $645.8 million. At the end of the day on Wednesday, November 1, the capitalization of "OK" increased after the announcement of the deal by %, to $699.6 million.

In March 2017, Miodrag Boroevich was appointed the new CEO of O'Key hyper- and supermarkets. RBC's source then that discounters could be spun off into a separate business, for the development of which the option of attracting an investor is also possible.

Having already announced sale of supermarkets, O'Key announced that it will focus on the development of hypermarkets and discount stores. For O'Key, it is logical to abandon the supermarket business, since it has never been strategic for the group, Burmistrov believes, adding that now the company needs money to open new discounters and renovate hypermarkets (including the implementation of projects to rent out part of the space in lease of the "Familia" network).

X5 Retail Group in the fourth quarter of 2016 regained the title of the largest Russian retailer by revenue. For the nine months of this year, X5's revenue grew by 26.2%, to 933.3 billion rubles. Like-for-like sales increased 6.1% over the period.

The capitalization of X5 Retail Group on Tuesday, October 31, on the London Stock Exchange reached $ 11.1 billion, at the end of the day on November 1, it did not change.

History of X5 Retail Group, management of X5 Retail Group, charitable policy of X5

Strategic partnership with X5, retail chains Pyaterochka, Perekrestok, Karusel, Kopeyka, X5 share capital structure

Section 1. History of X5 Retail Group.

Section 2 Social responsibility at X5 Retail Group.

X5 Retail Group is a Russian retailer, the owner of the Pyaterochka, Perekrestok, Karusel, and Kopeyka retail chains. The company is registered in the Netherlands, headquartered in Moscow.

X5 Retail Group N.V.- Russia's largest food retail company in terms of sales. The company operates stores in several formats: soft discounters under the Pyaterochka brand, supermarkets under the Perekrestok brand, hypermarkets under the Karusel brand, as well as convenience stores under various brands. The chosen strategy allows meeting the requirements of the widest segments of the Russian population and creating unique offers for each customer.

On May 18, 2006, Pyaterochka Holding acquired the Perekrestok chain of stores from the Alfa Group consortium and the Templeton investment fund.

In 2007, X5 Retail Group acquired Lipetsk's largest retail chain Korzinka (including the only My hypermarket at 100b Gagarina Street). Instead of Korzinka supermarkets, Pyaterochka is now open, and in June 2008 the We hypermarket was renamed Mercado Supercenter (the first such brand in Russia; see below). Entity- Yuzhny LLC - remained the same.

On August 11, 2008, X5 announced the decision to retain the Karusel brand and use it for all X5 hypermarkets.

On November 25, 2009, X5 signed an agreement to acquire the Paterson supermarket chain. In December of that year, the deal was closed; the chain's stores were later transferred to other brands owned by X5 Retail Group (53 stores were transferred to the Perekrestok brand and 22 to Pyaterochka).

At the end of September 2010, X5 completed the acquisition of 16 Ostrov retail stores located in the Moscow region. The deal amounted to $38 million, including debt. It is expected that later the stores will be transferred to other brands owned by X5 Retail Group.

In December 2010, it became known that X5 agreed with Nikolai Tsvetkov, the owner of 100% of the Kopeyka supermarket chain, to purchase all of his shares. The deal amounted to 51.5 billion rubles, including debt. For the purchase, the company took a five-year loan from Sberbank without property security. X5 also plans to change the name of the network.

In May 2011, X5 Retail Group acquired an 8.45% stake in the A5 pharmacy chain.
